# Haxiom Terms of Service

(“Company”, “we”, “us”, or “our”)

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you”, “your”, or “User”) and the Company governing your access to and use of the Haxiom platform (the “Service”).

By clicking “Accept”, creating an account, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

# 1. Definitions

Service – the Haxiom web application, mobile applications, APIs, Haxiom Pages publishing feature, and all related services.
User Content – any text, files, images, mathematics, code, or other material you upload, create, or publish using the Service.

# 2. Eligibility

You represent and warrant that you are at least 13 years of age and possess the legal right and capacity to enter into these Terms.

# 3. Beta Status

THE SERVICE IS PROVIDED ON A BETA BASIS.
We may modify, suspend, discontinue, or delete any feature or data at any time without notice or liability.

# 4. Billing & Payments

Aspect	Rule
Payment Processor	All payments are processed by Stripe, Inc. and subject to the Stripe Services Agreement
Taxes	All fees are exclusive of applicable taxes, which you are responsible for paying
Refunds	No refunds or credits for partial months, downgrades, or unused AI credits
Cancellation	Effective at the end of the current billing cycle; no prorated refunds
Chargebacks	Unjustified chargebacks or payment reversals may result in immediate account termination without refund

# 5. Licence Granted to the Company

You hereby grant the Company a worldwide, irrevocable, perpetual, royalty-free, fully paid-up, sublicensable, and transferable licence to use, host, store, cache, reproduce, modify, create derivative works of, distribute, publish, transmit, and otherwise exploit your User Content as reasonably necessary to:

provide and improve the Service;
perform semantic analysis and AI processing;
publish via public or unlisted Haxiom Pages;
comply with legal obligations.

# 6. User Representations and Warranties

You represent and warrant on an ongoing basis that:

You own or have all necessary rights to grant the licence in Section 5;
Your User Content does not infringe any third-party intellectual property, privacy, or publicity rights;
Your User Content complies with all applicable laws and these Terms.

# 7. Prohibited Content and Conduct

You shall not upload, publish, share, or transmit any User Content that:

constitutes or contains child sexual abuse material (CSAM);
contains pornographic images (textual hyperlinks to adult websites are permitted);
promotes hatred, violence, or discrimination against any individual or group based on race, religion, ethnicity, nationality, gender, or sexual orientation;
contains malware, exploits, stolen credentials, phishing material, or other malicious code;
promotes terrorism or violent extremism;
infringes third-party copyright, trademark, or other intellectual property rights;
constitutes spam, fraud, scams, or unlawful marketing.

We may remove any User Content and suspend or terminate accounts in our sole discretion without notice or liability.

# 8. Haxiom Pages (Public & Unlisted)

Advertisements	We reserve the right to display non-intrusive ads or sponsored content on free-tier public pages at any time

We may remove or disable any published page at our sole discretion.

# 9. Termination and Suspension

We may immediately suspend or terminate your access to the Service, without notice or liability, for any reason, including without limitation any breach of these Terms.

# 10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

# 11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES);
THE COMPANY’S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR S$100 IF YOU ARE ON THE FREE PLAN).

# 12. Indemnification

You shall indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

your User Content;
your violation of these Terms; or
your violation of any applicable law or third-party right.

# 13. Restricted Territories

We reserve the right to refuse or terminate service to any person or entity in any jurisdiction at our sole discretion.

# 14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Singapore.

# 15. Amendments

We may amend these Terms at any time by posting the revised version on our website. Continued use of the Service after any such changes constitutes your acceptance of the new Terms.
